Regulatory Disclosures

Last updated: September 2026

Important information about the regulatory status of Zinveo's services and the scope of this website.

1. Not investment advice, and not a regulated activity

Zinveo is a structural risk intelligence provider. Zinveo is not a registered investment adviser, broker-dealer, portfolio manager, or financial services firm in any jurisdiction, and nothing on this website or in any Zinveo report constitutes investment, legal, tax, or financial advice. Zinveo does not recommend that any person invest, or refrain from investing, in any company, security, or transaction, does not determine the suitability of any investment for any recipient, and does not manage assets or execute transactions on behalf of any client.

Specifically, and without limitation: Zinveo's reports are not "investment research" or a "personal recommendation" within the meaning of MiFID II (Directive 2014/65/EU) as implemented in the EU and UK; Zinveo does not act as an "investment adviser" within the meaning of the US Investment Advisers Act of 1940; and Zinveo does not carry on a "regulated activity" within the meaning of the UK Financial Services and Markets Act 2000. This list is illustrative of the general character of our services and is not an exhaustive survey of every regime that may be relevant to a given client, nor a legal opinion on Zinveo's status under any specific law.

Recipients of Zinveo's reports should not treat any part of them as a substitute for advice from their own qualified legal, tax, financial, or regulatory advisors, who are better positioned to weigh Zinveo's structural findings against the full commercial, legal, and financial context of a specific deal.

2. The nature of our analysis

Zinveo's structural reports expose governance, capital, and political-dependency patterns in Chinese companies that may not be visible to a foreign investor through standard diligence alone. This analysis is informational and structural in nature, it does not include a valuation, a recommendation to proceed or not proceed with a transaction, or an assessment of whether an investment is suitable for any particular investor.

Our analysis is built around a fixed, codified methodology applied consistently across engagements, organized around governance, capital dependency, and political exposure. It is designed to sit alongside, not replace, a client's own legal, financial, and commercial diligence. The specific content of that methodology is proprietary and confidential and is not disclosed on this website.

Final investment decisions remain solely the responsibility of the recipient and their investment committee, legal counsel, and professional advisors.

3. No guarantee of outcomes; no past-performance representation

While Zinveo applies a consistent, codified methodology to every engagement, structural analysis is based on information available at a point in time and on a regulatory environment that can change, sometimes with limited notice. Zinveo does not guarantee any particular investment outcome, and past identification of structural risk in one matter does not predict findings in any other matter. A structural report reflects the information reviewed at the time it was prepared and is not automatically updated to reflect subsequent developments.

Any illustrative case study, figure, or scenario referenced on this website (see Section 6 below) is not a track record and should not be read as an indication of likely future results for any actual engagement.

4. Independence and conflicts of interest

Zinveo's structural reports are prepared independently of any party to a transaction. Zinveo does not take a position in, or receive compensation contingent on the outcome of, any transaction it analyzes, and does not accept compensation from a subject company in exchange for a favorable characterization in a report prepared for a foreign-investor client. Our engagement is with the party requesting the analysis, generally a foreign investor or their investment committee, and our findings are not shared with the subject company or other transaction parties without that client's direction. Zinveo does not hold, and its personnel are restricted from holding, a personal financial interest in any company under active analysis for a client.

5. No fiduciary relationship

Nothing on this website or in any Zinveo report creates a fiduciary, advisory, or agency relationship between Zinveo and any recipient. Zinveo's role is limited to providing structural analysis under the terms of a separate, individually negotiated client engagement letter.

6. Confidentiality of engagements

Client engagements, including the identity of a client, the deals reviewed, and the content of any report, are treated as confidential and are not disclosed publicly. Case studies or examples referenced on this website, including those under Case Study, are explicitly labeled as illustrative, composite scenarios built from patterns Zinveo commonly observes across engagements, and do not disclose any specific client engagement, deal, or identifiable company unless expressly stated otherwise on that page.

7. Academic and professional contributors

This website identifies certain academics and professionals, including those listed under About Us, as having contributed to Zinveo's research or methodology. The nature and extent of each contribution varies, ranging from responding to specific research questions to providing direct input on a particular topic, and is described individually and factually on this website. Being named as a contributor does not mean the individual is employed by, formally affiliated with, or acting as an ongoing advisor to Zinveo, and does not imply that the individual has reviewed, endorses, or agrees with Zinveo's methodology, conclusions, or any specific report. Each contributor is named with their consent.

Where a contributor's university or institution is named or its logo is displayed, this is solely to identify that individual's academic or professional affiliation. It does not indicate, and should not be read as implying, any partnership, sponsorship, collaboration, or other relationship between Zinveo and that institution. The institution itself has not contributed to, reviewed, or endorsed Zinveo's research or methodology.

It is the recipient's responsibility to ensure compliance with the laws and regulations applicable in their own jurisdiction, including any local requirements around receiving cross-border analysis of this kind. Zinveo reserves the right to decline to engage with a prospective client where we determine, in our sole discretion, that doing so may raise a regulatory concern in the client's jurisdiction.

10. No offer or solicitation

Nothing on this website constitutes an offer or solicitation to buy or sell any security, investment product, or financial instrument in any jurisdiction, nor an offer or solicitation to any person in any jurisdiction in which such an offer or solicitation is not authorized. This website does not offer any product or service for self-service purchase; all engagements are individually negotiated.

11. Forward-looking references

Where this website or a Zinveo report references regulatory trends, policy direction, or market conditions, including any figures presented in our Facts resource, such references reflect our understanding at a given point in time, are clearly labeled as estimates or illustrative figures where applicable, and are not a guarantee of how the regulatory or market environment will develop. China's regulatory environment in particular can shift with limited public notice, and readers should not treat any such reference as a prediction or as Zinveo's proprietary structural analysis of any specific company.
